My client is a multinational FMCG group that operates a diverse portfolio of brands across the world. They are going through active transformation and expansion, hence looking for a seasoned corporate or technology lawyer to join their team.
Your Role
- As a Senior Legal Counsel, you will play a critical role in advising and supporting our organisation on simple as well as complex M&A transactions; IT-related legal issues;
- Leading negotiations and overseeing the drafting, review, and finalisation of legal documents related to M&A transactions, encompassing various agreements such as letters of intent, confidentiality agreements, purchase and sale agreements, and ancillary contracts.
- Addressing legal matters specific to the IT sector.
- Collaborating with internal stakeholders, external advisors, and counterparties to ensure that legal documents accurately reflect the parties' intentions, protect the organisation's interests, and mitigate potential risks.
- Conducting thorough due diligence examinations to identify any legal risks or liabilities associated with M&A transactions, employment matters, and IT-related contracts/documents.
- Collaborating with cross-functional teams to address integration and employment-related issues.
- Maintaining meticulous records and documentation related to M&A transactions, employment matters, and TMT-related legal activities.
Requirements
- Bachelor's degree in Law (LLB, JD, or equivalent). Admitted to practise law in common law jurisdictions.
- Minimum of 7 years' PQE working in both law firm(s) and the commercial sector.
- Proven track record of providing legal advice and support to companies on M&A transactions and TMT-related matters, including drafting and negotiating contracts, ensuring compliance with applicable laws and regulations, and addressing employment-related matters.
- Strong analytical abilities to identify and analyse complex legal issues arising in the context of M&A, TMT, and employment law, and to provide practical and effective solutions.
- Effective communication and interpersonal skills, enabling collaboration and engagement with colleagues, clients, and stakeholders at all levels of the organisation.
- The ability to handle multiple priorities, work under pressure, and meet tight deadlines.
- Proficiency in written and spoken English and Chinese (Cantonese) is essential. Knowledge of spoken Chinese (Mandarin) is considered a plus, but not a requirement.
